Terms of Service
The agreement between you and Sorato Inc. for using Loqal.
Last updated: June 30, 2026
These Terms of Service ("Terms") are a binding agreement between you (and, if you use the Service on behalf of an organization, that organization) and Sorato Inc. ("Sorato Inc.", "we", "us", or "our") governing your use of Loqal Studio, the Loqal websites, and related APIs and applications (the "Service").
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Loqal is a spoken-first language platform. It lets you transcribe, translate, summarize, voice, and converse with text, audio, video, and documents across many languages, including optional voice-cloning and talking-avatar features. We may add, change, or remove features over time.
2. Accounts and eligibility
You access the Service through a LoqalSSO account. You are responsible for keeping your credentials secure and for all activity under your account. You must provide accurate information and be at least 16 years old (or the minimum age required where you live).
If you use the Service for an organization, you represent that you are authorized to bind that organization to these Terms.
3. Subscriptions, billing, and renewals
Paid plans are billed in advance on a recurring basis (for example monthly) at the price shown at signup, plus applicable taxes. Payments are processed by our payment provider, Stripe; by subscribing you also agree to their terms.
Your subscription automatically renews at the end of each billing period until you cancel. Paid plans include usage allowances; usage beyond those allowances is automatically billed as metered overage at the per-unit rates shown for your plan, with no separate opt-in. Overage is metered monthly and added to your invoice — including on annual plans, where overage is billed on a monthly cycle alongside your annual base charge. You authorize us and our payment provider to charge your payment method for all fees due, including any usage overage.
4. Registration codes and comped access
We may issue registration or discount codes that grant free or reduced-price access. Such access is provided at our discretion, may be subject to limits and expiry, is non-transferable, and has no cash value. We may modify or revoke codes that are misused.
5. Cancellation and refunds
You can cancel your subscription at any time from your account. When you cancel, your plan remains active until the end of the current billing period, after which it will not renew. Deleting your account cancels any active subscription immediately.
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused capacity.
6. Your content
You retain ownership of the text, audio, video, documents, voice samples, and images you submit (“Your Content”), and you own the outputs the Service generates for you from Your Content, to the extent permitted by law.
You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and create derivative outputs from Your Content solely to operate and provide the Service to you (including using the AI and third-party providers described in our Privacy Policy). This license ends when you delete the relevant content or your account, except for limited records we must retain by law.
7. Voice cloning and likeness
If you use voice-cloning or avatar features, you represent and warrant that the voice and image you provide are your own or that you have obtained all necessary rights and consents to use them. You must not clone a person's voice or use a person's likeness without their explicit permission.
You are solely responsible for the content you generate. You may not use synthesized voice or avatars to impersonate, deceive, defraud, or harm any person, or in any way that violates these Terms or applicable law.
8. Acceptable use
You agree not to use the Service to:
- violate any law or the rights of others, including intellectual property, privacy, and publicity rights;
- submit content you do not have the right to use, or impersonate any person or entity;
- create deceptive, defamatory, harassing, hateful, or otherwise harmful content;
- attempt to bypass usage limits, security controls, or rate limits, or to disrupt or reverse engineer the Service;
- resell or provide the Service to third parties except as expressly permitted;
- use the Service to build a competing product or to scrape or harvest data at scale.
9. AI-generated output
The Service uses automated systems that can produce inaccurate, incomplete, or unexpected results. Output is provided for your use but is not guaranteed to be accurate, and it is not professional, legal, medical, or financial advice. You are responsible for reviewing and verifying output before relying on or distributing it.
10. Intellectual property
The Service, including its software, models, design, and trademarks, is owned by Sorato Inc. and its licensors and is protected by law. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service in accordance with these Terms.
11. Third-party services
The Service relies on third-party providers (such as payment, hosting, storage, and AI services) and may link to third-party sites. We are not responsible for third-party services, and your use of them may be subject to their own terms.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
13. Limitation of liability
To the maximum extent permitted by law, Sorato Inc. and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.
14. Indemnification
You agree to indemnify and hold harmless Sorato Inc. from any claims, damages, liabilities, and expenses arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service and its users. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will continue to apply.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date at the top and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute that is not subject to other agreed dispute resolution, to the extent permitted by law.
